Resolved that the Annual Report of the Rotary Club of Bombay for the year July 1st, 2023 to June 30th, 2024 be and is hereby adopted.

Resolved that the audited statement of accounts of the Rotary Club of Bombay for the year July 1st, 2023 to June 30th, 2024 be and are hereby adopted.

M/s M. P. Chitale & Co. be appointed as Auditors of the Rotary Club of Bombay for RY 2024-2025 and their remuneration be fixed at Rs. 50,000/- per annum, exclusive of out-of-pocket expenses and tax.
President Satyan: I put forward the following Resolution:
Resolved that M/s M.P. Chitale & Co. be appointed as Auditors of the Rotary Club of Bombay for the Rotary year 2024-2025 and that their remuneration be fixed at Rs. 50,000/- per annum, exclusive of out of pocket expenses and tax.
The resolution is proposed by Rtn. Manish Sampat and seconded by PE Bimal Mehta. Carried out unanimously.
(7) Appointment of auditors of the Rotary Club Bombay Charities Trust No.3
M/s M. P. Chitale & Co. be appointed as Auditors of the Rotary Club Bombay Charities Trust No.3 for the Rotary year 2024-2025 and their remuneration be fixed at Rs. 1,75,000/- per annum, exclusive of out of pocket expenses and tax.
President Satyan: I put forward the following Resolution
Resolved that M/s M. P. Chitale & Co. be appointed as Auditors of the Rotary Club Bombay Charities Trust No.3 for the Rotary year 2024-2025 and that their remuneration be fixed at Rs. 1,75,000/- exclusive of out of pocket expenses and tax.
The Resolution is proposed by PP Preeti Mehta and seconded by ARRFC & PDG Sandip Agarwalla. Carried out unanimously.
(8) Election of Officers and Directors:
The next point on the agenda is regarding the election of officers for RY 2025-2026 and Directors for RY 2025-2027:
In response to the Circular dated October 7th, 2024 sent to all members, the following valid nominations were received for officers (2025-2026) and four Directors (2025-2027) of the Rotary Club of Bombay. The nominations mentioned below were scrutinised by the Board of Directors at their meeting held on November 12th`, 2024 and were found to be in order.

Since one nomination was filed for each vacancy, the nominees are declared elected unopposed. Further, President-Elect Bimal Mehta has appointed PP Vijay Kumar Jatia as the Additional Director for Rotary year 2025-2026.
My heartiest Congratulations to all and I wish President-Elect Bimal Mehta and his team all the very best for the ensuing Rotary year.
(9) To consider and if thought fit to pass the following resolution with/without modification, if any:
Resolved that the formation of a new entity (Company incorporated under section 8 of the Companies Act, 2013) – as “Rotary Club of Bombay Special Events” or any other similar name as approved by the Registrar of Companies (ROC) be and is hereby approved and that the Office Bearers of the Rotary Club of Bombay are hereby jointly authorised to make the application with the ROC and undertake all the necessary compliances for the formation of the same, decide on the subscribers to the Memorandum of Association, first directors/guarantors (if any) of the proposed company, on behalf of the members of RCB and are also authorised to sign and carry out all other procedural and compliance activities towards its formation, including but not restricted to filing for availability of name, company incorporation form/undertaking, etc., applying for a Permanent Account Number (PAN), Tax deducted at source number (TAN), GST registration, open bank accounts, etc.”
